1. Acceptance
By accessing www.dzsoles.com (the "Site") or engaging Jinjiang DongZhuo Shoe Material Co., Ltd. ("DongZhuo", "we") for inquiries, quotations, samples or orders, you agree to these Terms of Service.
2. Use of the Site
The Site is provided for business (B2B) information about our products and to facilitate inquiries. You agree not to: (a) use the Site for unlawful purposes; (b) attempt to gain unauthorized access; (c) interfere with security features; (d) scrape content at volume without our written consent; (e) misrepresent your identity.
3. Information Only — No Offer
All product specifications, prices, MOQ, lead times, and capacities shown on the Site are indicative and subject to confirmation by a written quotation. Nothing on the Site constitutes a binding offer or contract.
4. Intellectual Property
All content on the Site (text, images, logos, designs) is owned by DongZhuo or our licensors. You may view and print for internal evaluation only. Reproduction, redistribution, public display or commercial use requires prior written permission.
5. Quotations & Orders
Quotations are valid for 30 days unless otherwise stated. Orders are subject to written confirmation (PI / SC), Incoterms 2020, and our standard payment terms (T/T 30% deposit + 70% against B/L copy, L/C at sight for orders over USD 30,000).
6. Quality & Compliance
Soles are manufactured in accordance with our quality control procedures and tested in-house (Shore A, density, tensile, abrasion, flex, hydrolysis). CE / ISO / REACH / RoHS / CA Prop 65 documentation is provided on request.
7. Limitation of Liability
To the maximum extent permitted by law, the Site is provided "as is" without warranties of any kind. DongZhuo is not liable for indirect, incidental, or consequential damages arising from use of the Site. Total liability under any contract shall not exceed the amount paid for the relevant order.
8. Indemnity
You agree to indemnify DongZhuo against any claims arising from your misuse of the Site or violation of these Terms.
9. Governing Law & Disputes
These Terms are governed by the laws of the People's Republic of China (excluding conflict-of-laws rules). Disputes shall first be settled amicably; failing that, by China International Economic and Trade Arbitration Commission (CIETAC) in Xiamen, in English and Chinese.
10. Changes
We may update these Terms from time to time. Continued use of the Site after changes constitutes acceptance of the revised Terms.
